Full job description

We are a leading professional services firm providing premium corporate governance, compliance, and advisory solutions to a diverse portfolio of domestic and international clients. We are seeking an ambitious Junior Company Secretary to join our growing team. This role offers an excellent clear career progression pathway and comprehensive study support. The work is not just a compliance role, We prepare paperwork for all types of corporate restructurings from share buybacks/redemptions to transferring trades to drafting rights for various classes of shares. Our work is varied and gives you an ability to be involved in significant transactions, working with tax, company law, and financial reporting teams, it is not just yearly company secretarial work, there is a significant volume of work outside of the annual compliance work.

Key Responsibilities

Portfolio Administration: Maintain statutory registers, minute books, and the Register of Beneficial Ownership (RBO) for a dedicated portfolio of corporate clients.
Restructuring: Aid with drafting all company secretarial paperwork to affect corporate restructurings of all types for manager review. Filing of the various forms with the Companies Registration Office
Laise directly with customers and their accountants as a point of contact.
Compliance & Filings: Prepare and submit statutory returns, director changes, changes in registered office, resolutions for various types, allotment of shares etc. through the Companies Registration Office (CRO) CORE portal.
Meeting Support: Draft standard board resolutions, AGM documentation, and clear meeting minutes for review.
Client Liaison: Act as the first point of contact for routine corporate governance and annual compliance queries.

Requirements & Qualifications

Education: A relevant degree (Law, Business, or Corporate Governance).
Professional Growth: Currently pursuing, or a strong desire to sit, the Chartered Governance Institute (CGI) qualifications.
Experience: 6 to 18 months of corporate services or secretarial administration experience in Ireland is highly advantageous.
Technical Skills: Familiarity with company secretarial platforms (e.g., Diligent) is a plus.
Key Attributes: Excellent attention to detail, strong multi-tasking skills, and a professional communication style.
