We are looking for a Company Secretary to join our Dublin-based Company Secretarial team. This role provides Company Secretarial services to the Dublin Financial Services team, working closely with partners, associates and other professionals on funds-related matters. This is a busy client-facing role that will require a knowledgeable, confident professional who can deliver high-quality work and outstanding client service.
Key Responsibilities
- Manage a portfolio of investment fund clients.
- Scheduling meetings, assisting with the preparation of agendas.
- Draft action points and minutes.
- Facilitating good information flows between board members.
- Developing a proactive relationship with board members, providing a source of information and advice, and acting as the primary point of contact with non-executive directors.
- Regular liaison with service providers - Administrator, Depositary, Investment Manager, Lawyers, MLRO and Auditors.
- Managing the convening and conduct of the AGM and any EGMs.
- Work with the team to develop use of AI tools for all relevant tasks.
Assisting and mentoring junior staff member and the team’s assistants.

Compliance, Regulatory and Internal Control
- Maintain statutory registers and minute books.
- Appointed Portal Administrator for the Central Bank’s online system.
- File CRO & Central Bank forms and relevant documents in a timely manner.
- Organise execution of documents in between board meetings.
- Keep abreast of relevant legislative, regulatory and governance developments.
Experience
- ICSA qualification or working towards same is desirable.
- 3 years’+ prior company secretarial experience.
Exposure to Investment Funds preferable.
