Dublin
A&L Goodbody ( ALG ) is currently seeking to hire a qualified solicitor (3-6 PQE) to join our market-leading Corporate Insurance practice.
Our Corporate Insurance practice is Ireland's largest and longest established dedicated (re)insurance law practice. Globally recognised as a top tier insurance practice, it has been at the cutting edge of domestic and international insurance developments and transactions for decades. Our strength lies in the breadth and depth of our experience, technical ability, and vision (and we actively develop and profile our solicitors with this in mind). This experience allows us to provide the support and assistance our clients need to deal with new opportunities and to meet the challenges of the changing business and regulatory environment.
Our expertise spans all aspects of insurance law and regulation, from the largest and most innovative projects to the more typical, everyday requirements associated with insurance law and regulatory issues.
The team
The Corporate Insurance team is the non-contentious part of our wider insurance practice. We currently have three Partners and an Of Counsel leading a team of six solicitors, spanning newly qualified to senior associate level. We work closely with one of our M&A teams that includes an insurance-focused M&A partner and regularly work on Central Bank of Ireland regulatory investigations, enforcement actions and other crisis management work (preventative and remedial) alongside our regulatory investigations colleagues.
Our expertise
We regularly advise on market-leading deals in the Irish and European market. Recent examples include:
Advising Zurich Insurance plc on its ground-breaking cross-border conversion into a German stock corporation under the Mobility Directive. This was the first ever outbound cross-border conversion of an Irish company and the first ever cross-border conversion of an insurance company anywhere in Europe.
Advising SCOR group on the first cross-border conversion completed under the Mobility Directive involving an Irish reinsurer converting into a French entity.
Advising NorthStandard Group on the portfolio transfer and merger between its two Irish marine and shipping insurers, as well as a complex and groundbreaking post-merger integration project.
Advising Generali in relation to the sale of the RedClick insurance business to Zurich.
Advising Zurich in relation to the acquisition of Beazley plc.
General areas that we regularly advise on include:
The establishment and business expansion of insurers, reinsurers and intermediaries.
Mergers, acquisitions, cross-border mergers and conversions, portfolio transfers, joint ventures, disposals and reorganisations of insurance businesses, insurance companies and insurance intermediaries.
Reinsurance agreements and associated collateral arrangements.
Insurance mediation and distribution channels.
Winding up and administration of insurers.
Court schemes for the amalgamation or division of insurance companies and transfers of business.
All aspects of the regulatory environment affecting insurers and reinsurers in Ireland, including product offerings, consumer laws, governance, solvency requirements, regulatory capital applications and compliance obligations.
Supporting clients and industry bodies in relation to new and emerging issues and opportunities (including ESG & sustainability and the use of AI in the insurance industry).
