We're looking for an Investment Funds Lawyer to join our Legal team in Dublin. This is an exciting opportunity for someone looking to move in-house and deepen their private funds expertise within a fast-scaling fintech.
You'll support the Group General Counsel and Senior Legal Counsel across fund formation, structuring, distribution and commercial arrangements, and operational legal matters, working closely with the Compliance, Fund Operations, Investment and Commercial teams. The remit is broad and will develop quickly as Titanbay grows.

Assisting with the legal aspects of the formation, structuring, and operation of private funds and alternative investment vehicles, including Titanbay's Luxembourg RAIFs and UCI Part II.

Reviewing, drafting and negotiating fund documentation, including offering memoranda, limited partnership agreements and subscription agreements.

Assisting with side letter negotiation and MFN administration.

Ensuring fund structures comply with relevant regulations, including AIFMD and CBI and CSSF requirements.

Drafting, reviewing and negotiating service provider agreements including investment management, investment advisory, administration, depositary and distribution agreements.

Reviewing and negotiating vendor, technology and internal agreements.

NDA reviews.

Conducting legal due diligence on fund structures, including the preparation of legal due diligence reports and investor comments memos.

Advising on and reviewing corporate actions arising with respect to fund investments.

Assisting on company secretarial matters including minute taking, reviewing minutes and board pack preparation.

Staying current on legal and regulatory developments and advising the business accordingly.

Irish-qualified solicitor (or common law equivalent) with 3–5 years' PQE in investment funds (preferably alternative investment funds / private funds).

Meaningful experience in funds formation, ideally within alternative asset fund structuring, at a law firm or in-house.

Working knowledge of AIFMD, CBI regulatory requirements; familiarity with Luxembourg fund structures is an advantage.

Strong drafting and negotiation skills with commercially grounded instincts.

Comfortable managing multiple workstreams in a fast-paced environment.

Collaborative and communicative, able to work across functions and jurisdictions.
